WHEREAS, NKD PROVIDER declares that has the possession of off market Kuwaiti Dinars 5th series or edition, which are also known as New Kuwaiti Dinar (NKD), that these can be exchanged against United States of America Dollar (USD) or EURO and enter into this Agreement under Transaction Code: …………….

WHEREAS, USD PROVIDER declares that they have the capacity to arrange of United States of America Dollar (USD) that are good, clean, clear, unencumbered and of non-criminal origin to exchange with New Kuwaiti Dinar 5th series or edition (NKD).

In consideration of the mutual interests and covenants, both parties hereby confirm with full corporate and legal responsibility, under penalty of perjury, and unconditionally agree on the following terms and conditions stipulated hereunder:

1. TERMS & CONDITIONS
Commodity : New Kuwaiti Dinar 5th series (NKD 5th)
Quantity : 20,000 Boxes
Denomination : 20 Dinar/Bank Note
Package : 5000 Bank Notes / Box
Price : USD2.8/Dinar net to Buyer
Commission : USD0.2/Dinar (Two sides)
Delivery : FOB Bangkok
First Lift : 2000 Boxes
Subsequent Lifts : To be mutually agreed (Delivery Schedule attached)
Payment : By MT103 Conditional or Cash Transfer to Seller’s Account.

3. PROCEDURE

3.1 Party B and NKD Party A sign this Agreement in Bangkok Thailand, exchange Four (4) originals with Two (2) set s for Party A and Two (2) sets for Party B and lodge one original to their respective Banks.

3.2. Within Five (05) Banking days, after a signed - Agreement date, the Party B provides
his Bank Confirmation Letter (BCL) Proof Of Funds( POF) with Full Banking
Details in the Amount of USD……………… to confirm the availability of Funds
with the Letter of Authorization to the Party A for verification on a Bank to Bank
Basis. On the appointment day by both sides, Party A’s Bank Officer shall commence
to verify the Party B’s Proof Of Funds. Then Party B’s Bank Officer shall confirm
Party B’s Proof Of Funds By sending Swift MT799 a Bank Confirmation Letter
(BCL) to Party A’s Bank Officer. Thereafter Party B shall send a copy of the said
Swift MT799 to Party A immediately. And Funds must be blocked for 15 Banking
days under the Transaction Code:…... After that, Party A shall issue the Performance
Bond (PB 2%) against the blocked Funds activity in the same day. The Party B’s
POF process until blocking is to be completed within 15 days, otherwise, this
Agreement shall be automatically null and void without any written notification.

3.3 Within Five (5) Banking day, after completion and positive verification MT103/23 or Conditional Cash Transfer, Party A must deliver NKD2000 Boxes to the Party B’s designated place in Bangkok. The inspection and count and all expenses must be responsible by Party B. After that Party B and Party A must sign the Commodity Acceptance of NKD5,000 Boxes of first lift with Release Payment immediately of the full amount of NKD5,000 Boxes to the Party A’s Account and all to be absolutely completed before 2:000PM of the same day and the original documents will be given to Party B.

3.4 Further deliveries shall be made the same as above mentioned, sizes and frequency of lifts is to be followed according to the agreed schedule by both sides until the commodity exhausted within 02 months.

4. OTHER CONDITIONS
Both parties agreed to follow the Instruction described in the procedure of this Agreement. If there is any change from any parties, the meeting must be held and both sides must acknowledge the alteration and mutually sign in the Agreement. Otherwise this Agreement of Exchange Foreign Currency for New Kuwait Dinar (NKD) will be automatically rendered null and void, without any written notification.

5. NON-CIRCUMVENT & NON-DISCLOSURE
Seller and Buyer accept and agree to the provisions of the International Chamber of Commerce, Paris France, for non-circumvent and non-disclosure, with regard to all and everyone of the third party assignments with full reciprocation for a period of 5(five) years from the last performance of delivery.

7. APPLICABLE LAW
It is agree that the language of this Agreement is the English. It is further agreed that any Controversy, claim and/or dispute arising out and/or relating to any part or the whole of this agreement or breach thereof and which cannot be settled between the signatories themselves, shall be settled by and through binding arbitration in accordance with the Rules of the ICC 500 International Chamber of Commerce.
Any decision and/or award made by the arbitrators shall be final, conclusive and binding on the Parties and enforceable law in the country of choice of an award by the arbitrators. In the event of dispute the Thai law shall be applied. The Arbitration shall be conducted in Thailand and the Court Arbitration shall be in Bangkok Thailand.

8. FORCE MAJEURE
“No Party shall be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity [or telephone service] in such circumstances. Any Party asserting Force Majeure as an excuse shall have the burden of proving that reasonable steps were taken (under the circumstances) to minimize delay or damages caused by foreseeable events, that all non-excused obligations were substantially fulfilled, and that the other Party was timely notified of the likelihood or actual occurrence which would justify such an assertion, so that other prudent precautions could be contemplated."

9 TIME LIMITATION
It is understood that within 15 days after signing of this Agreement, for NKD (After execution by the Party A) USD Party B’s Bank is obliged to provide Party B the Proof of Funds for verification and authentication. Should Party B be unable completely to perform the Proof of Funds during these 15 days this Agreement for NKD exchanging will be automatically rendered null and void, without any written notification. It is reiterated that, within or less than 12 days after signing this Agreement, the Party B must be completed successfully providing the Proof of Funds to Party A so the Party A can have enough time to be completed verify and block / PB for the Party B’s Funds, otherwise it is only to extend the Agreement for more 15 days with requesting in writing to Party A in 03 days before expired period, all cost to be born by the Party B as usual. After the payment for extension had been paid to Party A by the Buyer, the extension of Agreement shall be remained in force and effect immediately starting from the ending date of the old Joint-Agreement.

All signatories hereto acknowledge that they have read and each party fully understands the terms and conditions contained in this agreement and by their initials and signature hereby unconditionally agree to its terms as of the date noted herein.
