Mutual Consultation
(a) A Party claiming that a Dispute has arisen must give a Dispute Notice to the other Party specifying the nature of the Dispute and setting out the particulars of the matter in Dispute.
On receipt of the Dispute Notice by the other Party, the parties must first endeavor in good faith and recognizing their mutual obligations to resolve the Dispute expeditiously through the process of mutual consultation between the Project Manager of each Party.
(b) If the parties is still unable to resolve the Dispute within ten (10) Business Days of the issuance of the Dispute Notice or such further period as may be agreed by the parties in writing, either Party may refer the Dispute by a Further Dispute Notice to the other Party for discussion in the Project Steering Committee.
(c) On a receipt of the Further Dispute Notice by the other Party, each party shall convene the Project Steering Committee within ten (10) days from the receipt of the notice and will discuss in good faith to resolve the Dispute within thirty (30) days from the first meeting date of the Project Steering Committee.
(d) All negotiation shall be strictly confidential and used solely for the purposes of settlement. Any materials prepared by one Party for these proceedings shall not be used as evidence by the other Party in any subsequent arbitration or legal proceeding.
