(iii) such skilled, semi-skilled and unskilled labor as is necessary for the proper and timely-execution and maintenance of the WORK.
4.1.2 CONTRACTOR may reassign or replace any key personnel with others having an equal ability for the benefit of the CONTRACT only upon the prior APPROVAL of OWNER, which shall not be unreasonably withheld. CONTRACTOR shall inform OWNER the detail of replacement in writing seven (7) DAYs in advance. Any expense(s) incurred in connection with such reassignment or replacement shall be borne by CONTRACTOR.
4.2 OWNER’s Assistance
To enable CONTRACTOR to continuously execute the WORK, OWNER shall provide assistance for the supporting documents for the application for and receipt of licenses, work permits, and authorities required to enable CONTRACTOR and its personnel to perform the WORK in Thailand as necessary. Any assistance information given by OWNER to CONTRACTOR during the performance of the WORK shall not relieve CONTRACTOR from its responsibilities under this CONTRACT.
4.3 Replacement for Cause
OWNER shall have the right at its discretion to request CONTRACTOR to replace any person employed by CONTRACTOR in or about the execution or maintenance of the WORK if OWNER considers that such person misconducts himself or is incompetent or unable to perform his job satisfactorily. CONTRACTOR shall comply with such request immediately and shall take such measures as will enable CONTRACTOR to carry on its performance of the WORK without delay. Any expenses, including labor costs, in connection with such removal shall be borne by CONTRACTOR.
4.4 CONTRACTOR shall maintain workable and harmonious relations with its employees and between CONTRACTOR’s employees and the employees of SUBCONTRACTORs and the employees of CONSULTANT and OWNER’s employees. Whenever CONTRACTOR has knowledge that any actual or potential labor dispute is delaying or threatens to delay the timely performance of the WORK, CONTRACTOR shall immediately give notice thereof including all relevant information to OWNER and immediately take the necessary action to restore labor harmony.
4.5 Nothing in this CONTRACT shall be deemed to constitute CONTRACTOR or any of CONTRACTOR’s employees or agents to be the agent, representative or employee of OWNER. CONTRACTOR shall be an independent CONTRACTOR and shall have responsibility for and control over the details and means for performing the WORK, provided that CONTRACTOR is in compliance with the terms of this CONTRACT.
4.6 When requested by OWNER or CONSULTANT, CONTRACTOR shall furnish OWNER and CONSULTANT with the names and contact detail of field employees of CONTRACTOR and its SUBCONTRACTORs and others who have performed or are performing the WORK.
