What a headache! Lots of information to digest...
But we've got the plan for the company stuff, and financing. The law firm needs a $15,000 retainer to write up all the documents; operating agreement, private placement memorandum, anti-money laundering bits, to file a thing with the SEC which states that we're a registered security, that is exempt from something or other! And blah blah blah!
The tax stuff is relatively straight forward... A 9% sales tax (city + state), a half percent tax deductible charity contribution, and another 0.5% for the IRS. With some clever accounting required to get R&D tax credits on the remaining 29% or something. And there's a 30% tax on the dividends shareholders are paid (monthly, quaterly or annually); that's the main one that's pretty much unavoidable (unless you link it with a purchase / store credit, or something like that.... need to confirm the details there before I give you the option).
I'm finding about selling your shares / stake; im not clear on that yet. Some bits i've read say you have to hold them for 2 years. Others not.
Anyway... I'm waiting for one big document with all the details in one place... As right now it's spread out amongst loads of discussions (and frankly it's confusing!)... Then as my personal website comes online. I'll compile all that into a semi-coherant form, and give you all the info, show you the documents you'll need to sign etc. And then we can formalize the funding process!

We may modify the business model.... There may not be a requirement for 2 separate companies & websites. This can be done with one (lot less taxes that way)... And we maybe able to make this into more of a PTC type business, than a full on clothing business; as that'll reduce costs substantially, which gives us much more leverage with the rewards & development side of things.
