7.1 Subject to Clause 5.5 hereof, if the Closing Date does not occur due to failure of the Sellers to fulfil their duties under any provisions of this Agreement or if any of the Sellers’ warranties and representations under this Agreement becomes false to material extent on or before the Closing Date to the extent it is applicable, the Purchaser, at its option, shall have sole right to terminate this Agreement and demand the Sellers to compensate the Purchaser against the out of pocket expensesall losses in relation to the conclusion of this Agreement that actually incurred by giving a written notice signed by an authorised representative of the Purchaser, and the Purchaser is entitled to obtain the return of the Deposit kept in and all Payments made directly to the Bank or the Sellers entirely and promptly. For the avoidance of doubt; the out of pocket expenses are; professional fees for due diligence, and legal fee for drafting this Agreement and expenses related therto.
