10. SUSPENSION OF SERVICES
10.1. The Company reserves the right to interrupt, suspend or terminate the Designated Equipment and Technical Support on the occurrence of any of the following events:-
10.1.1 for maintaining or upgrading the Company’s equipment (if any) or the Designated Equipment upon the consent of the Customer;
10.1.2 for the purpose of testing, investigating or trouble-shooting any fault reported by the Customer or detected by the Company or suspected fault or malfunction of any of the Designated Equipment or the Technical Support or any other additional services not within the scope of the Technical Support as may requested by the Customer;
10.1.3 upon non-payment of the Fee;
10.1.4 in the event of occurrence of an event of Force Majeure and in such an occurrence, except for any breach of any terms of this Agreement, neither party hereto shall be liable to the other for any claim or damages;
10.1.5 upon the events referred to in Clause 7.4; and
10.1.6 legal proceedings have been instituted against the Customer for non payment of any debt or where a winding up order has been granted against the Customer or where a winding-up petition has been presented against the Customer.
