SAP Support Fees.
SAP Support Fees shall be paid annually in advance and shall be as specified in theAppendix. After the Initial Term (defined in Section 6), any limitations on increases to SAP Support Fees are subject to Customer’s compliance with the Customer COE requirements specified in the applicable SAP Support Schedule.
Not raising fees in any given year or years is not a waiver ofSAP’s right todo so. SAP Support Fees are invoiced on an annual basis effective January 1 of a calendar year. Any SAP Support Fees due prior to January 1 are invoiced on a pro-rata basis for the given calendar year in effect. SAP Support Fees will increase as additional Software is licensed.
Support Advisory Center access, Continuous Quality Checks, GoLive Checks and Enterprise Support Reports (each asmay be applicable and only asdescribed in the SAP Suppo rt Schedule) will only be provided in the event Customer establishes a mission critical deployment by certifying its Customer COE. Customer acknowledges that SAP Solution Manager Enterprise Edition is available to all SAP Support customers to the extent stated in the applicable SAP Support Schedule, but does currently interface only with selected Software products. In the event that at least one licensed Software product is supported by the SAP Solution Manager Enterprise Edition, theCustomer will be required to install the SAP Solution Manager Enterprise Edition and toutilize its
capabilities.
All feesare in THB. All payment terms are net thirty (30) days from date ofinvoice. Any fees not paid when due shall accrue interest atthe rate of3% above the Lending Rate by the Head Office ofBangkok Bank, Thailand applicable per annum, but not to exceed the maximum amount as allowed by law
