CONSORTIUM AGREEMENT
This Agreement is made and entered on…….th april,2014 by and between:
1.fixam asean holdings limited, represented by Mr. Fernando Augusto Pereira Toledo , as the authorized, holder Portugal passport no. l325562, address unit 1802 18/F ka wah bank CTR ,232 des voeux rd central hk, hereinafter called “ FAH” and
2.THS Renewable power Technology company limited, Represented by Mr. Li Tao, holder prc passport no.G47978695 and Mr.to maneechoti , holder Thailand passport no. n923416, as the managing directors , address 350/96 rama3 soi 71 , chongnonsee, yanawa, Bangkok , Thailand , hereinafter called “THS”

whereas, THS is the company which has managed and produced the company which has managed and produced the alternative Energy with the technician , research and development technology teams and has the modern technology that is accepted by domestic and international institutes. THS also has possessed a viable project in constructing the plant to generate power using solar and waste materials intended to supply to Electricity Generating Authority of Thailand (EGAT). The said plant could also produce a number of by-products such as bio-mass fuels which are readily saleable and could yield a high profit. The production technology is sophisticated and unique with patent licensing . the production line adopts a high environmental friendly technology with complete control of hazardous gas emission.

Whereas, FAH is interesting to extend business in Thailand and has the high finance potential to provide the bank facilities.

Now. Therefore , the parties agree as follows:
1. Objective and Obligation
1.1 FAH and THS have agreed to establish a machinery manufacturing plant by the Gasification (Combined and Hybrid) Technology that has world patent in order to solve environmental problem. The production is clean energy such as electricity , gas , bio-fuel for Thailand.
1.2 FAH and THS have agreed to make joint investment in the form of Consortium in order to supply the Clean Energy (Alternative Energy), Environment and CDM (carbon credit) of the existing and future projects. Those projects will not limit but be extending to the Alternative energy production for the local and worldwide communities.
Phase 1 – the Demonstrate Gasification plant (pilot projects) 6 MW ($30,000,000).
Phase 2 – Solar cell power plant 100 x 10 MW ($2,000,000,000 x 10) within 3 years.

Remark – phase 1-2 have to use the first investment fund total USD $2,000,000,000.00 (Two billions United state Dollars)
Phase 3 – Combined and Hybrid Power plant as follows:
- Larege Power plant 3,600 x 3 MW ($3,600,000,000 x 3) within 5 years.
- 1 Municipality 1 MW 7,500 x 5 MW ($7,500,000,000 x 5) within 5 years.
- And as the board Resolution in the future
Phase 4 – power plant projects in asean +1 (asean group + china)

1.fixam อาเซียน Holdings จำกัด แสดงโดยนายเฟอร์นันโด ออกุสโต้ เปเรย์รา โทเลโด เป็นอำนาจผู้ถือหนังสือเดินทางโปรตุเกสไม่ l325562 ที่อยู่ 1802 18 / หน่วย เอฟ กา าศูนย์ธนาคาร 232 Des Voeux ถนนกลางฮ่องกงต่อไปนี้เรียกว่า " ฟ้า " และ
2.ths พลังงานทดแทน เทคโนโลยี จำกัด เป็นตัวแทน โดยนายหลี่ เต้า ยึดหนังสือเดินทาง และจีน no.g47978695 mr.to maneechoti , ผู้ถือหนังสือเดินทางประเทศไทยไม่ n923416 เป็นกรรมการผู้จัดการ ที่อยู่ลึกซึ้ง 350 / 96 ซอย 71 , แขวงช่องนนทรี , ยานนาวา , กรุงเทพ , ประเทศไทย , ต่อไปนี้เรียกว่า " หน้า "

และเขาเป็น บริษัท ที่มีการจัดการ และการผลิต บริษัท ที่มีการจัดการ และผลิตพลังงานทดแทน ด้วยเทคนิค การวิจัย และพัฒนาเทคโนโลยี ทีม และมีเทคโนโลยีที่ทันสมัยที่ได้รับการยอมรับจากสถาบันในประเทศ และต่างประเทศเขายังได้มีโครงการที่จะสร้างโรงงานเพื่อผลิตไฟฟ้าโดยใช้เซลล์แสงอาทิตย์และวัสดุเหลือใช้ วัตถุประสงค์ เพื่อจัดหา การไฟฟ้าฝ่ายผลิตแห่งประเทศไทย ( กฟผ. ) กล่าวว่า พืชสามารถสร้างจำนวนของผลิตภัณฑ์ เช่น ไบโอ มวลเชื้อเพลิงที่พร้อมและสามารถให้ผลตอบแทนที่ขายดีกำไรสูง
