For any case sending of data investigation , it will be KGI responsibility.
In case of any incidents related to the software provided in this Agreement during the
period as stipulate in Clause 3, MBT will fix the problem or work around solution or
temporary fix to by 48 hours after MBT accepts the problem report from KGI and provide
permanent fix by 7 working days.
Service Fee and Payment
2.1 Service Maintenance of Well-Fixed Asset Software is
Annual Maintenance Fee 14,000.00 Baht
Vat 7 % 980.00 Baht
Total 14,980.00 Baht
2.2 KGI will make payment to MBT 15 days after receiving invoice from MBT.
3. The Period cover 1 year starting February 1, 2016 until January 31, 2017.
4. Annual maintenance fee include upgrade new version through the year of agreement covered.
5. The service will provide for KGI Securities (Thailand) Public Company Limited Only.
6. Termination
6.1 KGI may terminate this Agreement without cause by giving written notice to MBT for a
period of not less than 30 (thirty) days;
6.2 KGI may terminate this Agreement by giving written notice to MBT for a period of not
less than 15 (fifteen) days if MBT is in material breach of its obligations and such
breach is incapable of remedy or MBT fails to remedy the breach within 30 days after
receiving written notice requiring MBT to remedy the breach.
7. Assignment
Neither party shall assign or otherwise transfer any of its rights and/or obligations under
this Agreement without the prior written consent of the other party.
8. Integration
Purchase order No. MBT/Q.04814/2014 dated November 6, 2014 shall be deemed an
integral part of this Agreement. Any conflict or inconsistency between the terms of this
Agreement and the purchase order, this Agreement will take precedence.
