At Kerry we take a strategic, holistic approach to managing our organisation’s performance, from individual performance to
aggregated metrics at Group, business and functional levels. We align our incentive programmes to drive behaviours that in turn
maximise and sustain Kerry's success. One such incentive is the Management Incentive Plan (MIP).
You are eligible and will participate in the MIP with a maximum opportunity equal to 30% of your 2016 annual gross base pay.
Your incentive award will be measured and earned based on actual performance versus Key Performance Indicator (KPI) targets,
which are provided to you in a separate statement.
All Incentive Plans and associated awards are discretionary in nature and do not form part of your contractual remuneration.

BOP Knockout
BOP Knockout is designed to ensure that all STIP awards are appropriate and affordable based on the performance of the entire
Group as well as the relevant business unit. BOP knockout is a cascaded principle which starts at Group level (EPS) and progresses
down through Divisions, Regions and Business unit levels as appropriate. This restriction ("BOP Knockout") applies even if some
or all of these KPIs are not reflected in the Scorecard.
