Reference is made to the Underwriting Agreement dated 10 June 2014amongSCB Asset ManagementCompany Limited as the Manager, both Pinthong Industrial Park Company Limited and PIP Land and Factory Company Limited as the Sponsors and The Siam Commercial Bank Public Company Limited as the Underwriter (the “Underwriting Agreement”). Terms not otherwise defined in this letter shall have the meaning given to such terms in the Underwriting Agreement.

The undersigned, Mr. Pira Patamavorakulchai and Mrs. Somsri Duangprateep being the authorized directors of the Sponsors, hereby certify, without personal liability, for and on behalf of the Sponsors as at the date hereof that:

1. the representations and warranties of the Sponsors in the Underwriting Agreement are true and correct in all respects (or only in the case of the representations and warranties of the Sponsors in the Underwriting Agreement which are not qualified by any materiality requirements, in all material respects) on and as of the date hereof with the same effect as if made on the date hereof, and the Sponsors have in all material respects complied with all their obligations under the Underwriting Agreement and satisfied in all material respects all the conditions on its part to be performed or satisfied under the Underwriting Agreement at or prior to the date hereof; and

2. since the Execution Time until the date hereof, there has been no change that would have a material adverse effect in the context of the Offering, except as set forth in or contemplated by the Prospectus.

เมื่อมี เพื่อข้อตกลงการจัดจำหน่ายลงวันที่ 10 มิถุนายน 2014amongscb managementcompany สินทรัพย์ จำกัด เป็นผู้จัดการ ทั้งนิคมอุตสาหกรรม ปิ่นทอง จำกัดและที่ดิน pip และโรงงาน จำกัด เป็นผู้สนับสนุนและ ธนาคารไทยพาณิชย์ จำกัด ( มหาชน ) ในฐานะเจ้าหน้าที่รับประกันภัย ( Underwriting " ข้อตกลง " )แง่ใดไม่ได้กำหนดในจดหมายนี้จะมีความหมายให้ข้อตกลงในสัญญารับประกัน

ข้าพเจ้า นายพิ patamavorakulchai และนางสมศรีดวงประทีปเป็นอำนาจกรรมการของผู้สนับสนุน ขอยืนยัน ไม่มีความรับผิดส่วนบุคคล เพื่อและในนามของผู้สนับสนุนเมื่อวันที่ :

1 ฉบับนี้ว่า .การรับประกันและการรับประกันของผู้สนับสนุนในข้อตกลงการเป็นจริงและถูกต้องทุกประการ ( หรือในกรณีของและการรับประกันของผู้สนับสนุนในการข้อตกลงซึ่งไม่มีคุณสมบัติใด ๆความต้องการวัสดุ , วัสดุในประการทั้งหมด ) และ ณ วันที่ฉบับนี้ด้วยเช่นเดียวกัน เช่น ถ้าทำในฉบับนี้ วันที่ ,และผู้สนับสนุนในวัสดุทั้งหมดเคารพปฏิบัติตามภาระหน้าที่ภายใต้ข้อตกลงของลูกค้าและความพึงพอใจในวัสดุทั้งหมดเคารพเงื่อนไขทั้งหมด ในส่วนของการปฏิบัติ หรือพอใจ ภายใต้ข้อตกลงที่บริษัท หรือก่อนวันฉบับนี้ และ

2 ตั้งแต่เวลาจนถึงวันที่ความเป็นประหาร ,มีการเปลี่ยนแปลงที่จะมีวัสดุที่มีผลต่อในบริบทของการเสนอขาย ยกเว้นที่กำหนดไว้ในสัญญาหรือตามหนังสือชี้ชวน
