Service Agreement

This agreement is made on 29/02/2016 and effective from 01/03/2016 to 30/06/2016..

Between:
TOYO-RO INDUSTRIES CO., LTD. (hereinafter called as TOYO-RO Japan) a company incorporated under the Law of Japan whose principal place of business is at 270 Tanjo, Mihara-Ku, Sakai-City, Osaka 587-0011, Japan.

TOYO-RO (THAILAND) CO., LTD. (hereinafter called as TOYO-RO Thailand) a company incorporated under the Law of Thailand whose principal place of at 27/17 Moo 5 Bangna-Trad KM 25.5 Road, Bangsaothong Subdistrict, Bangsaothong District, Samutprakarn 10540, Thailand.

1. TOYO-RO Japan concluded the Contract with NACHI Technology (Thailand) for Mesh Belt Type Continuous Heat Treatment Furnace which is delivered to their factory in Thailand in the amount of JPY137,500,000.

2. TOYO-RO Thailand cooperated with TOYO-RO Japan for the above said contract providing the following services. :

a) To give information about the enquiry.

b) To assist TOYO-RO Japan to solicit order technology and commercially.

c) To assist TOYO-RO Japan to execute the Contract

d) To cope with the customer claims in every respect and report the situation to TOYO-RO Japan.

3. As a compensation of the activity mentioned above, TOYO-RO Japan agrees to pay service fee to TOYO-RO Thailand in the amount of 1,000,000.00THB (including VAT 7%),
4. Payment of above 3 shall be done by the end of July, 2016.

(ซึ่งต่อไปนี้เรียกว่าโย-RO ไทย) เป็นบริษัทจดทะเบียนภายใต้กฎหมายไทยที่มีหลักวางของที่ 27/17 หมู่ 5 บางนา-ตราดกม. 25.5 ถนน ตำบลบางเสาธง อำเภอบางเสาธง สมุทรปราการ 10540 ไทย1. โตโย-RO ญี่ปุ่นสรุปสัญญานะจิเทคโนโลยี (ประเทศไทย) สำหรับตาข่ายเข็มขัดประเภทต่อเนื่องความร้อนรักษาเตาส่งให้โรงงานของตนในประเทศไทยเป็นเงิน JPY137, 500, 0002. โตโย-RO ไทยร่วมมือกับญี่ปุ่น TOYO RO สำหรับสัญญาดังกล่าวข้างต้นให้บริการต่อไปนี้ :ก) เพื่อให้ข้อมูลเกี่ยวกับการสอบถามข) ให้ความช่วยเหลือญี่ปุ่น TOYO RO เพื่อขอสั่งซื้อเทคโนโลยี และเชิงพาณิชย์c) เพื่อช่วยเหลือญี่ปุ่น TOYO RO การดำเนินการสัญญาd) เพื่อรับมือกับการเรียกร้องของลูกค้าทุกประการ และรายงานสถานการณ์ญี่ปุ่น TOYO-RO3. เป็นตัวแทนของกิจกรรมดังกล่าวข้างต้น TOYO RO ญี่ปุ่นตกลงที่จะจ่ายค่าบริการ RO โตโยไทยจำนวน 1,000, 000.00THB (รวม VAT 7%),4. ชำระเงินข้างบน 3 จะได้รับสิ้นเดือนกรกฎาคม 2016โตโย TOYO RO อุตสาหกรรม CO., LTD-RO (ประเทศไทย) CO., LTD อมาโนฮิ –ฮิโระมิสเตอร์ Masayoshi ประธานกรรมการกรุณากลับไปซ้ำของข้อตกลงนี้เราจะลงนาม
