Commencing on the Closing Date the Guarantor hereby irrevocably and unconditionally guarantees the due and punctual performance and observance of its obligations to the Investor or its transferees in full.

If the Issuer fails to perform or make payment, or breaches its obligations under the Agreement, the Guarantor shall upon first demand by the Investor or its transferees, satisfy and discharge any claims, actions damage losses, charges, costs expenses directly or indirectly sustained by the investor or transferees up to the Aggregate Principal Amount.
