11) ASSIGNMENT
The Lessee shall not assign the rights and obligations hereunder to any third person unless prior written consent is obtained from the Lessor. The Lessor may assign the rights and obligations hereunder to any third person without prior consent from the Lessee provided that such third person shall assume the rights and obligations hereunder and notice thereof shall be given to the Lessee.
12) MISCELLANEOUS
12.1 Failure to exercise any right of the Lessor against the Lessee if the Lessee breaches this Agreement does not constitute a waiver of the right of the Lessor to exercise other rights specified in this Agreement. Failure to enforce debt repayment within the specified period or the waiver of time under this Agreement does not constitute a waiver of right for legal execution.
12.2 This Agreement constitutes the entire understanding between the parties and shall be binding upon and inure to the benefit of the successors, assignees, heirs, executors and administrators of the parties.
12.3 any provision of this Agreement becomes void or unenforceable under applicable law, the parties agree that the remaining provisions shall be valid.
12.4 This Agreement shall not be amended or modified except by a written instrument signed by the parties, in which case it shall be deemed that such agreement is an integral part hereof.
12.5 The headings appearing in this Agreement are for the purpose of clear understanding of this Agreement only and shall not affect the interpretation of the contents of this Agreement.
13) Governing Laws
This Agreement shall be construed under and governed by the laws of the Kingdom of Thailand.
This Agreement is made in duplicate having the same contents. Each party shall retain one copy. Both parties have read and fully understood this Agreement and deem that it is consistent with their intentions. In witness whereof, the parties have affixed their respective signatures before the witnesses on the date and place first above written.
