Consultant) for any and all transactions associated with Consultant.





1. CONSULTATION SERVICES. Consultant will consult with and advise Company regarding the following matters:

a) Introducing Company to entities and individuals seeking collateral e11hancement or funding for commercial or humanitarian projects of appropriate magnitude to be compatible with Company's funding capabilities and to identif y available and usable liquid assets of a type and size appropriate to Company's requirements to facilitate such collateral enhancement or funding, acceptable to Company.

b) Consultant, through its existing relationships with business men and organizations, trusts, bankers, industry specialists and other financial institutions, will introduce Company to the appropriate relationships of Consultant to facilitate such collateral enhancement or funding transactions to a successful conclusion on behalf of and for the benefit of Company. The decision to contractually engage in any such collateral enhancement or funding opportunities presented to Company as a result of this Agreement shall be and remain the Company's sole and exclusive determination.

c) Co11sultant's liability to the Company in respect of endeavoring to provide collateral or project financing shall be nil, other than to use his expertise and knowledge on a "Best Efforts" basis to procure the requested collateral enhancement, project finance
- or collateral. .

d) Consultant, through its existing relationships with business men, organizations, trusts, bankers, traders, industry specialists and other financial institutions, will introduce Company to the appropriate relationships of Consultant to facilitate tl1e sale or hypothecation of selected Compal1)' assets or introduce Con1pany to the appropriate relationships of Consultant to facilitate collateral enl1ancement, corporate or project funding, or the provision of collateral, finance, loans as requested by Company.





1. TERM OF AGREEMENT. The term of this Agreement sl1all be for six (6) months fron'l the date hereof or for the term of any collateral enhancement or funding busii'less contracted as a result of this Agreement (including any extensio11s and modifications
