This Agreement contains the basic terms under which UPS Parcel Delivery Service Limited ("UPS") and Ebro Valves Trading (Thailand) Co.,Ltd.("Customer"), being authorized to represent the entities as listed in Item 15, hereby agree to the following:
1. SERVICE OVERVIEW: UPS provides services as set out in the applicable UPS Rate & Service Guide at the time of shipment, as amended by UPS from time to time. All goods are carried subject to the applicable UPS Terms & Conditions of Carriage, and UPS reserves the right for amendment if required, the UPS Rate & Service Guide, and in particular subject to the limits of liability set out therein. UPS reserves the right to alter its service offerings at its discretion.
Only letters, documents, paks, and packages shipped under the account number(s) listed in Item 15 are eligible to participate in these designated incentives, and only these letters, documents, paks, and packages will be used to determine whether the Customer has reached the minimum requirements of this Agreement. If a shipment's UPS waybill does not indicate one of the specified account numbers from Item 15, UPS cannot apply the incentives in billing your company. Account numbers may be added or deleted only by mutual written Agreement between parties. Additions to Item 15 require ten (10) business days advance notice to become effective.
Customer is prohibited from reselling or offering Incentives to any other party without the prior written consent of UPS and failure to comply with this prohibition may result in immediate cancellation of this Agreement and the revocation of any discounts or incentives provided by UPS to Customer.
2. ENTIRE AGREEMENT: This Agreement and all its Attachment supersede any existing agreements made between the parties relating to the subject matter of this Agreement. It may only be modified by written Agreement between the parties. Both parties confirm that before signing this Agreement they have carefully read the contents of the agreements, understood their own rights and obligations and agree to the Agreement, all its Addenda and the terms and conditions set forth in Clause 1 which constitutes the entire Agreement of both parties for the service.
3. DOCUMENTATION: UPS can only accept shipments if accompanied by adequate documentation as specified in the UPS Terms & Conditions of Carriage and the UPS Rate & Service Guide.
4. PAYMENT TERMS: The Customer agrees to pay for UPS Services within the following time periods from the respective invoice dates:-
4.1 Export Freight Prepaid Shipments – 30 Days
4.2 Export Free Domicile Shipments – 30 Days
4.3 Import Freight Collect, Duties and Taxes – 30,7 Days The Customer agrees to pay duties and taxes incurred, including those charged from destinations, up to delivery. UPS may produce documents, internal or otherwise, showing the amount(s) payable. Such amount(s) are to be considered final and are not subject to discussion or dispute by the Customer.
The Customer agrees to pay all charges payable to UPS by the receiver of third parties designated on the airway bill including the charges incurred on account of freight collect reversal.
UPS reserves the right to suspend and/or terminate credit terms in the event that any service invoice remains outstanding after payment is due.
