System of governance (SoG) have come under considerable scrutiny as a result of Solvency II. Regulators are particularly interested in understanding how companies are organized and make decisions. The scope of these requirements is wide ranging and relatively ill-defined, capturing corporate governance arrangements at board levels as well as “fit-and-proper” with respect to key function holders. Two significant opportunities exist in this area for risk professionals.
