therewith, and the translated Manuals shall be the sole property of Global. Changes to Manuals will be
made from time to time and it is the responsibility of Master to ensure that the changes are
incorporated into the local version of the Manuals including the necessary translations, at Master’s
expense. All changes shall be provided via the SMART Technology Portal. Master may request changes
to the Manuals that are appropriate to the local market and Global will approve such changes within 30
days of being submitted, and if there is no approval within such period, the request shall be considered
denied. Such allowed changes may be approved as requested or with changes or conditions as Global
determines in its sole discretion.
4.2 Consultation and additional Training. Global may provide regular consultation and
advice to Master Licensee in response to Master’s inquiries about specific administrative and operating
issues which Master brings to Global’s attention including, without limitation, mandatory and
recommended specifications, standards and operating procedures. The Training provisions and
“Certified Trainers” are described in Section 5.8. Global’s consultation and advice may be provided by
telephone, in writing, electronically, in person, or by other means, and shall be provided at Global’s
expense unless Global incurs expenses that are not within the scope of this Agreement based on
Global’s reasonable determination.
Additional training will be provided, as reasonably determined as necessary by Global and at
Master’s expense including all transportation costs, food, lodging and similar costs that may be incurred
by Global to provide such additional training as well as such transportation costs, food, lodging and
similar costs incurred by Master and its employees to attend any such training or other meeting or
event.
4.3 Inspection. Master shall have the responsibility to inspect its Franchisees and their
facilities to determine if they have satisfactorily complied with the terms of their Franchise Agreements
and to determine if action by Master is required to correct any non-compliance and as further described
in Section 5. Global shall have the right (but not the obligation) at any time, to inspect the Franchisees
and their facilities in the Development Area to determine if Master Licensee and the Franchisees have
satisfactorily complied with the terms of this Agreement and their Franchise Agreements and to
determine if action by Master Licensee is required and as further described in Section 5.
Upon becoming aware of a default or possible default by a Franchisee, Master must input that
information into the SMART Technology Portal, for Global’s review. If Master has not taken appropriate
action to resolve the default or has not informed Global of such matter, then Global may take such
action as it believes, in its sole discretion, is necessary and charge Master for any expense it incurs.
4.4 Advertising Fund. Should Master be required to maintain and administer an Advertising
Fund, they must do so with the written approval of Global which will be provided in its sole discretion.
The Advertising Fund may be used to defray direct expenses for those employees who provide the
administration of the Advertising Fund, to pay for attorney’s fees and other costs related to the defense
of claims against the Advertising Fund or against the Party administering it, and to pay costs with respect
to collecting amounts due the Advertising Fund. The Fund may spend in the following year, any portion
of the contributions which it does not spend during the current year. Master shall provide Global, with
an unaudited annual statement within one hundred twenty (120) days after the end of the Fund’s year,
summarizing the expenditures of the Advertising Fund during the previous year.
