9.7 The Customer and the Contractor

9.7 The Customer and the Contractor shall meet , when necessary, with a view to agreeing the proposed Change Order. The Change Order shall not be effective until the Parties have agreed in writing. For the avoidance of doubt, the Contractor shall not unreasonably withhold its agreement of a proposed Change Order that has no substantial impact on the Works. It shall be reasonable for the Contractor to withhold its consent if the Customer cannot demonstrate to the reasonable satisfaction of the Contractor that it has available to it sufficient financing to pay for the proposed Change Order.
